Four Ways to Earn.

1. Partner Role & Responsibilities

Partner agrees to:

• Identify qualified clients within the designated service and submit through the partner portal
• Respond to Company requests for client clarification within 48 hours
• Maintain professional communication and represent The Funding Broker™ brand accurately
• Comply with all federal, state, and local laws regarding client outreach (no harassment, no TCPA violations)
• Not misrepresent Company products or guarantees to clients
• Complete all required training and compliance certifications as directed

Company agrees to:

• Process all qualified submissions within 24 business hours
• Provide marketing materials, scripts, and client communication templates
• Pay commissions per the schedule below within 5 business days of trigger event
• Not solicit Partner's referred clients directly to bypass Partner (non-circumvention)

2. Exclusivity & Non-Compete

During the Term: Partner may not represent competing products without written Company approval. Competing services are defined as other first-time homebuyer mortgage/DPA products, other surplus funds recovery services, other real estate investment lending, or other Medicare insurance agent recruitment programs.

After Termination: Partner agrees not to solicit Company clients referred by Partner for 12 months following termination (non-circumvention). Partner may work with the same client on a completely different service.

3. Commission Structure & Payment

50/50 split when you source your own leads. 60/40 split (partner receives 60%) when leads are provided to you by the company. If a client's transaction reverses, the corresponding commission is reversed.

Tax: Partner is responsible for reporting commission income to tax authorities. Company issues a 1099-NEC for all commissions paid in a calendar year. Partner is an independent contractor responsible for self-employment taxes and quarterly estimated payments.

4. Term & Termination

• Initial Term: One (1) year from Effective Date
• Renewal: Auto-renews annually unless either party provides 30 days written notice
• Termination for Cause: Immediate if Partner misrepresents products, violates laws, or breaches confidentiality
• Termination Without Cause: Either party may terminate with 30 days written notice
• Post-termination: Outstanding commissions paid within 5 business days; non-circumvention clause remains in effect for 12 months

5. Confidentiality & Privacy

• Keep all client information, Company processes, and internal communications confidential
• Not share client lists, financial data, or contact information with third parties
• Not disclose Company pricing, commission rates, or deal information to other parties
• Client information protected under GDPR, CCPA, and applicable state/federal privacy laws

6. Liability & Indemnification

Partner's Responsibility: Partner is responsible for all client communications, marketing outreach, and representations made under Partner's name. Partner indemnifies Company from claims arising from Partner's actions or misrepresentations.

Company's Responsibility: Company is responsible for loan processing, claim filing, client underwriting, and regulatory compliance. Company will defend Partner against claims arising from Company's own negligence.

Dispute Resolution: Either party may request mediation before legal action (costs split equally). If mediation fails, binding arbitration under applicable state law.

7. Communications & Entire Agreement

• Partner receives monthly commission statements via partner portal
• Company sends quarterly updates on product changes, new tools, or policy changes
• Either party may request status updates on submitted clients (48-hour response)

This agreement constitutes the entire agreement between Company and Partner. Any modifications must be in writing and signed by both parties. If any clause is found unenforceable, the remaining clauses remain in effect.
